These Terms of Service (“Terms”) govern your use of the SimpliKeys website, products, and services (the “Service”). The text below is a working draft and will be finalized by counsel before launch.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Use of the service

You may use the Service only in compliance with these Terms and all applicable laws. You will not (a) misuse the Service, attempt to access it by means other than the interface provided, or interfere with its operation; (b) reverse engineer or attempt to extract source code; (c) use the Service to violate any law or infringe on the rights of others.

Accounts

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access. Accounts are personal and may not be transferred without our consent.

Customer data

You retain all rights in the data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to operate, secure, and improve the Service for you. Our handling of personal data is described in our Privacy Policy.

Intellectual property

The Service, including all related software, designs, and documentation, is owned by SimpliKeys and protected by intellectual property laws. Except as expressly granted in these Terms, no license or right is granted to you in or to the Service.

Fees and payment

Paid plans, if any, will be governed by an applicable order or subscription agreement. Fees are non-refundable unless otherwise stated. We may change fees on prospective renewal with reasonable notice.

Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or as required by law. Upon termination, your right to use the Service ceases immediately; sections that by their nature should survive will survive termination.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLIKEYS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLIKEYS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Governing law

These Terms will be governed by and construed in accordance with the laws of the jurisdiction specified in our applicable order form. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising out of these Terms or the Service.

We may update these Terms from time to time. We will post any updates here and revise the “last updated” date above. Continued use of the Service after a change constitutes acceptance of the updated Terms.
